1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of LenzAI's AI visibility tracking and optimization services (the "Service"), operated by LenzAI, a UK sole trader business (transitioning to a limited company) at www.lenzai.co.uk.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Definitions

• "Service" refers to LenzAI's AI visibility tracking platform accessed at www.lenzai.co.uk
• "User," "you," or "your" refers to the individual or entity using the Service
• "Account" refers to your registered user account
• "Subscription" refers to your access plan (Community, Starter, or Growth)
• "Content" refers to data, information, and materials you provide to the Service
• "AI Platforms" refers to ChatGPT, Perplexity, Google Gemini, and Google AI Overview

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your business. By creating an account, you represent that you meet these requirements.

3.2 Account Information

You must provide accurate, complete, and current information during registration, including your business name and website URL. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.3 Account Security

You must notify us immediately of any unauthorized access to your account at security@lenzai.co.uk. We are not liable for losses caused by unauthorized use of your account.

4. Service Description

LenzAI provides AI visibility tracking and optimization services, including:

• Automated website analysis during onboarding using OpenAI technology
• AI-generated search term recommendations based on your business
• Monitoring brand mentions across AI platforms: ChatGPT, Perplexity, and Google Gemini
• Citation tracking in Google AI Overviews using SerpAPI
• Market intelligence tracking with search volume data
• Deep-dive analysis of term performance across platforms
• AI-powered optimization recommendations
• Scheduled monitoring based on subscription tier (monthly/weekly/daily)

Features and limits vary by subscription tier. We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice.

5. Subscription Plans and Billing

5.1 Subscription Tiers

We offer three subscription tiers with different features and limits:

• Community (Free): 25 AI terms, 10 market intelligence terms, monthly monitoring
• Starter: 50 AI terms, 25 market intelligence terms, weekly monitoring, enhanced features
• Growth: 75 AI terms, 35 market intelligence terms, daily monitoring (Mon-Fri), full features

5.2 Billing and Payments

• Paid subscriptions are billed monthly in advance via Stripe
• All fees are in GBP (£) unless otherwise stated
• All fees are non-refundable except as required by UK law
• You authorize us to charge your payment method on each billing cycle
• Prices may change with 30 days' advance notice to existing subscribers
• Failed payments may result in service suspension after 7 days
• VAT will be added where applicable once we become VAT-registered

5.3 Free Trial (If Applicable)

If we offer a free trial, your subscription will automatically convert to a paid plan at the end of the trial unless you cancel. You will not be charged during the trial period.

5.4 Subscription Changes

You may upgrade or downgrade your subscription at any time through your account settings:

• Upgrades take effect immediately with prorated billing
• Downgrades take effect at the next billing cycle
• No refunds for unused portions of billing periods
• Term limits adjust immediately when downgrading

5.5 Cancellation

You may cancel your paid subscription at any time through your account settings or the Stripe billing portal. Cancellations take effect at the end of the current billing period. You retain full access until that time. Your account will automatically revert to the Community (free) tier.

6. Usage Limits and Restrictions

6.1 Subscription Limits

Your subscription includes specific usage limits:

• Maximum number of AI-generated terms you can monitor
• Maximum number of market intelligence terms
• Monitoring frequency (monthly, weekly, or daily)
• Number of deep-dive analyses per month
• Number of citation monitoring runs

Exceeding these limits may require an upgrade to a higher tier.

6.2 Fair Use Policy

We expect reasonable use of the Service. Excessive API calls, automated scraping, or attempts to circumvent usage limits may result in temporary suspension or termination.

6.3 Prohibited Uses

You may not:

• Use the Service for any illegal purpose or in violation of UK law
• Attempt to gain unauthorized access to the Service or our systems
• Interfere with or disrupt the Service's operation or servers
• Resell, redistribute, or share your account access with others
• Use automated tools to access the Service without written permission
• Reverse engineer or attempt to extract source code
• Use the Service to directly compete with LenzAI
• Submit false, misleading, or malicious data
• Violate any third-party AI platform's terms of service
• Use the Service to spam, harass, or abuse others

7. Your Data and Privacy

7.1 Your Content

You retain all rights to content you submit to the Service (website URLs, company information, search terms). You grant us a limited, non-exclusive license to use this content solely to provide the Service, including:

• Analyzing your website during onboarding
• Querying AI platforms with your search terms
• Storing monitoring results in your account
• Generating insights and recommendations

7.2 Third-Party AI Platforms

By using our Service, you acknowledge that your search terms will be sent to third-party AI platforms (ChatGPT, Perplexity, Google Gemini, SerpAPI) for monitoring purposes. These platforms have their own terms of service and privacy policies.

7.3 Data Processing

We process your data as described in our Privacy Policy. By using the Service, you consent to such processing and warrant that all data you provide is accurate and that you have the right to provide it.

7.4 Data Retention

We retain your data for as long as your account is active and as required by UK law. Upon account deletion, we delete or anonymize your data within 30 days, except where retention is required by law (such as accounting records for 6 years).

8. Intellectual Property

8.1 Our IP

The Service, including its software, design, algorithms, user interface, text, graphics, logos, and other content (excluding your Content), is owned by LenzAI and protected by UK and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

8.2 Generated Data and Reports

Reports, analytics, insights, and monitoring data generated by the Service using your data are owned by you for the duration of your subscription. We retain rights to:

• Anonymized, aggregated data for improving the Service
• Industry benchmarks derived from anonymized user data
• Statistical analysis for research purposes

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without compensation or attribution.

9. Service Availability and Warranties

9.1 Availability

We strive for 99.5% uptime but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance (notified in advance when possible)
• Emergency updates or security patches
• Third-party service outages (Railway, Supabase, AI platform APIs)
• Force majeure events beyond our control

9.2 Third-Party Dependencies

The Service depends on third-party services including:

• OpenAI (ChatGPT) for website analysis and monitoring
• Perplexity AI for Perplexity monitoring
• Google AI (Gemini) for Gemini monitoring
• SerpAPI for Google AI Overview monitoring
• Supabase for database and authentication
• Railway for hosting infrastructure
• Stripe for payment processing

We are not responsible for service disruptions caused by these third-party providers. We will make reasonable efforts to provide alternative monitoring methods where possible.

9.3 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted, secure, or error-free operation
• Accuracy, completeness, or reliability of results

9.4 Data Accuracy

While we strive for accuracy, we do not warrant that data from AI platforms is complete, accurate, current, or consistent. AI platform responses may change over time, and different queries may produce different results. Our Service provides monitoring and insights, not guarantees of AI platform behavior.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY UK LAW:

• Indirect Damages: LenzAI shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Business Losses: Including loss of profits, revenue, data, business opportunities, or goodwill
• Service Interruptions: Losses due to service downtime, data loss, or unavailability
• Third-Party Actions: Actions or content from AI platforms, service providers, or other users
• Business Decisions: Decisions made based on our monitoring data or recommendations

Maximum Liability: Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

11. Indemnification

You agree to indemnify, defend, and hold LenzAI harmless from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the Service
• Your breach of any representation or warranty

12. Term and Termination

12.1 Term

These Terms remain in effect while you use the Service or have an active account.

12.2 Termination by You

You may:

• Cancel your paid subscription at any time (reverts to free Community tier)
• Delete your account entirely through your account settings

12.3 Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms or our acceptable use policy
• Fail to pay subscription fees within 14 days of notification
• Engage in fraudulent, illegal, or abusive activity
• Use the Service in a way that harms LenzAI, other users, or third parties
• Breach security or attempt unauthorized access

We will provide notice where legally required and practical, but reserve the right to terminate immediately for serious violations.

12.4 Effect of Termination

Upon termination:

• Your right to access the Service ceases immediately
• We may delete your data in accordance with our Privacy Policy (30 days)
• No refunds for unused subscription periods (except as required by law)
• You remain liable for any outstanding fees
• Sections that should survive (IP, liability, disputes) continue to apply

13. Changes to Terms

We may modify these Terms at any time, including when we transition from a sole trader to a limited company. For material changes, we will notify you:

• Via email to your registered email address
• Through a prominent notice on the Service
• At least 30 days before changes take effect

Continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to changes, you must cancel your subscription before they take effect.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. You agree to submit to the jurisdiction of these courts.

14.3 Informal Resolution

Before filing any legal claim, you agree to first contact us at legal@lenzai.co.uk to attempt informal resolution. We commit to working with you in good faith to resolve disputes. Most disputes can be resolved quickly through discussion.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LenzAI regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court, the remaining provisions remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.

15.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction, including as part of our transition to a limited company, a merger, acquisition, or sale of assets.

15.5 Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including:

• Natural disasters, pandemics, or acts of God
• War, terrorism, or civil unrest
• Government actions or legal restrictions
• Labor disputes or strikes
• Internet outages or telecommunications failures
• Third-party AI platform outages or API changes

15.6 Notices

Notices to you will be sent to your registered email address. Notices to us should be sent to legal@lenzai.co.uk. Notices are deemed received when sent by email.
